Form a New Jersey LLC

A New Jersey LLC is formed under N.J.S.A. 42:2C by filing a certificate of formation on the state's online business portal. The state fee is $100. Choose Starter $149, Pro $299 or Complete $399, plus that fee at cost. We do not print a form number because formation is online only.

Annual report: last day of the anniversary month

New Jersey annual reports are filed online only and are due on the last day of the anniversary month of formation or authorization. The registered agent is sent a reminder 60 days before that date. The state fee is $75 for an LLC, for-profit corporation, LP or LLP, and $30 for a nonprofit. Expediting is not available for the annual report.

Multi-member tax filing fee

An LLC with more than two owners and New Jersey-source income pays a partnership filing fee of $150 per owner on NJ-1065, plus a 50 percent prepayment. The fee is capped at $250,000. That is a tax filing, separate from the $100 formation fee.

What the $100 covers, and what it does not

The $100 is the certificate of formation under N.J.S.A. 42:2C. The published fee is the amount on the Division of Revenue schedule. It does not include the $75 annual report, a county trade name, or NJ-REG.

Owners above two, with New Jersey-source income, also budget the $150-per-owner NJ-1065 filing fee plus a 50 percent prepayment. That tax fee is capped at $250,000 and is not part of the formation checkout.
